Terms and conditions
1. Seller and scope
SETTLE is the consumer-facing brand operated by SETTLE Studio Sønderborg.
SETTLE Studio Sønderborg, CVR 46683137, Store Rådhusgade 15, 1., 6400 Sønderborg, Denmark. Email: hello@settlestudio.dk.
These terms apply to consumer purchases through settlestudio.dk when ordering is available, and to direct sales where the terms are expressly provided or referenced before the agreement is concluded.
The version applicable to a purchase is the version in force when the agreement is concluded.
2. What the product includes
SETTLE's own product is non-electrical. SETTLE sells only the sculptural shade and its support: a weighted base (BLOOM 01 and WAVE 01) or three wooden legs (HUSH 01).
The SETTLE product contains no cord, plug, switch, lampholder, bulb or any other electrical component, and no such parts are included.
Illuminated product photographs show the product in its intended setting and may include separately purchased electrical accessories.
Current tested compatibility: Biltema E14 cord set with switch, articles 46-866 (white) and 46-867 (black). The cord set is a separate third-party product with its own order line and is never part of a SETTLE product.
SETTLE may retail the genuine Biltema cord set unchanged and unopened in its original Biltema packaging and under Biltema identity. SETTLE Studio Sønderborg is an independent retailer and is not affiliated with, sponsored by or endorsed by Biltema.
If the customer buys both a SETTLE product and a Biltema product, they remain separate products on separate order and invoice lines, even if they ship in the same parcel. No bundle, kit or assembled lamp is sold.
Compatibility information applies only to the specific product and version SETTLE has tested. Third-party manufacturers may change their products without SETTLE's control.
SETTLE is responsible for the accuracy of its own compatibility information but does not provide a warranty for independently purchased third-party products.
3. Product characteristics and variation
SETTLE products are produced in small batches using additive manufacturing and are finished by hand.
Characteristics such as visible fine layer structure, minor surface variation, small differences between individual units and minor colour variation between material batches may naturally occur and form part of the stated manufacturing character of the product, where they remain within the product description and the normal quality standard.
This does not exclude liability for genuine defects or for significant deviations from the advertised product.
Product photography is representative. Screen settings and lighting may affect perceived colour.
Dimensions and weight may have small reasonable manufacturing tolerances where this does not materially affect the product's use or appearance.
4. Prices
All prices are stated in DKK.
Displayed prices are the total prices charged to the customer unless clearly stated otherwise.
SETTLE Studio Sønderborg is currently not VAT registered, and VAT is therefore not added separately.
Any delivery cost is shown before the customer places the order.
5. Order formation
Product listings on settlestudio.dk are an invitation for the customer to submit an offer to purchase. They are not a binding offer from SETTLE.
The customer's submitted order is an offer to purchase.
An automatic email confirming that the order was received is only a receipt and is not acceptance of the order.
A binding purchase agreement is formed only when SETTLE sends a separate, explicit order confirmation accepting the order.
Before SETTLE accepts an order, SETTLE may reject it, for example because production capacity is unavailable, materials are unavailable, the product cannot reasonably be produced, there is a technical website error, there is a pricing or specification error, payment authorization fails, or there is reasonable suspicion of fraud or abuse.
Once a binding agreement has been formed, SETTLE has no general unilateral right to cancel it.
If an order is rejected, any payment authorization is released and any amount actually received is refunded without undue delay.
6. Payment
Accepted payment methods are those displayed at checkout.
A payment method may authorize or reserve the amount when the order is placed.
For ordinary products, the amount is not captured before dispatch unless advance payment is separately lawful and expressly agreed.
7. Production and delivery
Products may be produced on demand or in small batches.
Production and dispatch times shown on product pages are estimated unless SETTLE expressly guarantees a particular date.
Delivery is currently available only in Denmark.
SETTLE will notify the customer of material delays.
SETTLE is not responsible for delay caused solely by events outside its reasonable control, including serious carrier disruption, supply interruption, public authority action, fire, flood or similar events. Mandatory consumer rights relating to delay remain unaffected.
Risk passes to the customer when the customer, or a person designated by the customer, physically receives the product.
8. Right of withdrawal
You have 14 days from receipt of the item to notify SETTLE that you wish to withdraw from the purchase. You then have a further 14 days to return the item.
SETTLE's standard products and standard colour selections remain subject to the normal right of withdrawal, even when manufactured after ordering.
Only genuinely personalized products made according to individual customer specifications may be excluded, and this is made clear before purchase.
The customer pays the direct cost of return shipping for an ordinary withdrawal where this is disclosed before purchase.
We recommend contacting hello@settlestudio.dk for practical return instructions, but this is not a condition for exercising the statutory right.
9. Condition of returned products
The customer may inspect the product only to the extent reasonably necessary to determine its nature, characteristics and functioning.
SETTLE may deduct a documented reduction in value caused by handling beyond what is necessary for that purpose.
The product must be appropriately packaged for return. Original packaging is recommended where suitable but is not mandatory.
The customer bears the risk of accidental loss or damage during the return shipment until SETTLE receives the returned product, in accordance with applicable Danish rules.
10. Refunds
On valid withdrawal, SETTLE refunds all payments required by law, including the cost of SETTLE's least expensive standard outbound delivery option.
Additional cost created because the customer voluntarily selected a more expensive delivery method is not refunded.
SETTLE may withhold the refund until the returned product has been received, or until the customer supplies evidence that it has been returned, whichever occurs first.
Refunds are made using the same payment method as the purchase unless otherwise expressly agreed.
11. Complaints and defects
SETTLE does not offer any voluntary warranty.
The statutory Danish two-year right to complain applies.
It covers defects that existed, or whose underlying cause existed, at delivery.
Ordinary wear, accidental damage, misuse, damage caused by incompatible accessories, unauthorized modification or use contrary to supplied instructions are not automatically product defects.
Where a valid defect exists, SETTLE retains all lawful rights to remedy the situation under the Danish Sale of Goods Act. Where legally available, SETTLE may offer repair or replacement before a price reduction or cancellation becomes appropriate.
A complaint should include, where reasonably available, the order reference, product model, unit or serial number, a description of the issue and photographs useful for assessing it. Photographs or a serial number are not an absolute condition for exercising statutory rights.
12. Third-party electrical equipment
SETTLE's current products are non-electrical and consist only of the shade and its weighted base or wooden legs.
Cord sets, lampholders and bulbs are separate third-party products, purchased independently, and are never part of a SETTLE product.
Where SETTLE sells a genuine Biltema product, it is sold unchanged and unopened in its original Biltema packaging. SETTLE is the seller in that transaction, and the customer's mandatory consumer and complaint rights against SETTLE remain fully intact for that product. This is not limited by the fact that the product is manufactured by a third party.
Customers must use only compatible equipment, follow the third-party manufacturer's instructions, and must not modify the SETTLE product or the electrical equipment in a way that creates a safety risk.
For third-party products purchased elsewhere, SETTLE is not the seller and is not liable for defects in those products.
Subject to mandatory law, SETTLE is not liable for losses caused solely by the customer's misuse, incompatible equipment or unauthorised modification.
13. Safety and misuse
Products are for indoor domestic use unless explicitly stated otherwise.
Product-specific safety instructions on the product page and in accompanying documentation form part of the product information.
SETTLE is not responsible for damage caused solely by use contrary to clear safety instructions, incompatible equipment, unauthorized modification or abnormal use, except where liability cannot legally be excluded.
14. Intellectual property
SETTLE retains all applicable intellectual-property rights in its original product designs, photographs, graphics, branding, text and website content.
No purchase transfers intellectual-property rights to the customer.
Trademarks belonging to Biltema or other third parties remain the property of their respective owners.
15. Liability
SETTLE does not exclude or limit liability beyond what Danish mandatory law permits.
Nothing in these terms limits liability for personal injury where exclusion is unlawful, mandatory product liability, intentional misconduct, gross negligence where exclusion is unlawful, or statutory consumer rights.
To the extent permitted by law, SETTLE is not liable for indirect consequences caused solely by customer misuse or by independently purchased third-party products.
16. Events outside SETTLE's control
SETTLE is not liable for failure or delay in performance caused by events genuinely outside its reasonable control, including natural events, fire, flood, serious carrier disruption, supply interruption or public authority action.
SETTLE may suspend performance while such an event prevents production or delivery, and will inform affected customers when reasonably possible.
The customer's mandatory statutory rights in case of prolonged delay or non-delivery remain unaffected.
17. Customer information
The customer is responsible for providing an accurate name, delivery address, email and any other information required to fulfil the order.
SETTLE is not responsible for delay or additional cost caused solely by materially incorrect information supplied by the customer.
Any additional reshipping cost resulting from an incorrect address or failure to collect a shipment may be charged to the customer where legally permissible and where the cost is actually incurred.
18. Complaint resolution
Please first contact SETTLE at hello@settlestudio.dk so that we can try to resolve the matter.
Eligible Danish consumer complaints may be submitted to the relevant complaint body through Nævnenes Hus according to its current rules and thresholds.
19. Governing law
Danish law governs the agreement.
Nothing in these terms removes mandatory consumer protections that legally apply.
20. Changes to these terms
SETTLE may update these terms for future purchases.
Updates do not retrospectively change an already concluded purchase agreement.
The applicable version is the version provided and applicable when the purchase agreement was concluded.
21. Confirmation on a durable medium
After a binding order is accepted, the customer receives the relevant contractual information and statutory withdrawal information by email or another durable medium suitable for permanent storage.
